1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of geo share (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Definitions

For purposes of these Terms:

  • "Content" means any files, data, text, imagery, or other materials you upload, submit, store, or otherwise make available through the Service.
  • "You" means the individual or entity using the Service.
  • "We", "us", and "our" mean the operator(s) of geo share.

3. Description of the Service

geo share is a geospatial file sharing platform that allows users to upload geospatial files, and share interactive map links visualizations. The Service includes file conversion, cloud storage, and map visualization features.

4. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use the Service. Some features require an account. You agree to:

  • Provide accurate, current information when creating and maintaining your account
  • Maintain the confidentiality of your credentials and restrict access to your account
  • Be responsible for all activity that occurs under your account
  • Notify us promptly of any unauthorized use or security incident

5. Acceptable Use and Restrictions

You will use the Service only in compliance with these Terms and all applicable laws and regulations. You agree not to (and not to allow any third party to):

  • Upload files containing malware, viruses, or malicious code
  • Upload or share Content that infringes or misappropriates intellectual property or privacy rights
  • Use the Service to distribute unlawful, harmful, deceptive, defamatory, or abusive content
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with, disrupt, or degrade the Service or impose an unreasonable load on our infrastructure
  • Scrape, crawl, reverse engineer, decompile, or attempt to extract source code or underlying ideas
  • Use automated means to access the Service except as expressly permitted by us in writing
  • Bypass rate limits or access controls, or probe, scan, or test vulnerabilities without permission

We may suspend or terminate access to the Service for conduct that we believe violates these Terms or creates risk to the Service, users, or third parties.

6. Content; Ownership; License

You retain all right, title, and interest in and to your Content. You represent and warrant that you have all rights necessary to upload and use your Content with the Service.

By uploading or submitting Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display your Content solely to operate, maintain, and provide the Service, including to:

  • Store and process your files for the purpose of providing the Service
  • Convert files to different formats as requested
  • Display your Content when you choose to share map links or otherwise make it available

Except for the limited license above, we do not claim ownership of your Content.

7. Service Plans, Fees, and Billing

Certain features may require payment. If you purchase a subscription or paid plan, you authorize us (and our payment processor) to charge your selected payment method on a recurring basis in accordance with the plan terms presented at checkout.

  • Subscriptions renew automatically unless you cancel before the renewal date
  • You may cancel at any time; cancellation takes effect at the end of the current billing period unless otherwise stated
  • Fees are non-refundable except where required by law or as we expressly state otherwise
  • We may change prices or plan features; changes apply at renewal and will be communicated in advance when required

You are responsible for any applicable taxes, duties, or similar governmental assessments unless we are required by law to collect them.

8. Availability; Changes to the Service

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue all or any part of the Service at any time, including to maintain, improve, or comply with legal requirements. We are not liable for any downtime or service interruptions.

9. Data and Privacy

We process personal information as described in our Privacy Policy (if available). We may collect and process data associated with your use of the Service, such as usage metrics, device and browser data, and approximate location derived from IP address, for security, analytics, and service improvement.

10. Third-Party Services

The Service may interoperate with or rely on third-party services (for example, payment processors, storage providers, mapping libraries, analytics services, or authentication providers). Third-party services are governed by their own terms and privacy policies, and we are not responsible for third-party services.

11. Termination and Suspension

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, pose a security risk, or if we are required to do so by law. Upon termination, your right to use the Service will cease.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

To the maximum extent permitted by law, geo share and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claims shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless geo share and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service or your Content, including any allegation that your Content infringes or violates the rights of a third party.

15. Dispute Resolution; Governing Law

These Terms are governed by applicable laws without regard to conflict of law principles. To the extent permitted by law, you agree to first contact us and attempt to resolve any dispute informally. If a dispute cannot be resolved, it may be resolved through binding arbitration or in a court of competent jurisdiction, depending on what is permitted and required by applicable law.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by posting a notice on the Service or by email. Your continued use of the Service after such changes constitutes acceptance of the new terms.

17. Miscellaneous

  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Entire agreement: These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject.
